Limited Liability Company \u201cECOTEST+\u201d, represented by Director Maryna Vasylivna Yarova, acting on the basis of the Charter, hereinafter referred to as the \u201cFamily Laboratory\u201d or the \u201cProvider\u201d, pursuant to Articles 633, 641, and 644 of the Civil Code of Ukraine, offers laboratory services to an unlimited number of persons, hereinafter referred to as the \u201cCustomer\u201d, in accordance with the terms and conditions of this Public Agreement on the Provision of Laboratory Services.<\/p>\n
1.1. This Public Agreement on the Provision of Laboratory Services (hereinafter referred to as the \u201cAgreement\u201d) is a public agreement and defines the terms and procedure for the provision of medical services by the Provider to the Customer and is concluded for an indefinite period. The terms of this Agreement are identical for all consumers, and unconditional acceptance thereof (ordering and\/or payment for laboratory services by the Customer and\/or performance of other Confirmatory Actions) shall constitute acceptance of this Agreement by the Customer and certify the fact and date of its conclusion.<\/p>\n
1.2. The Agreement shall become binding upon the Provider from the moment of its publication on the Provider\u2019s Website, and upon the Customer from the earlier of: placing an order and\/or paying for services under the Agreement, or the actual commencement of service provision. The Agreement shall be deemed concluded at the moment the Customer accepts its terms (performs Confirmatory Actions).<\/p>\n
1.3. The Parties guarantee that each Party possesses the necessary legal capacity and all rights and authorities necessary and sufficient for the conclusion and performance of this Agreement in accordance with its terms.<\/p>\n
1.4. The Provider confirms that it possesses all permits required to conduct business activities in medical practice related to the performance of this Agreement and further guarantees that it is entitled to carry out laboratory examinations in accordance with the requirements of the current legislation of Ukraine and shall bear liability in the event of violation of the Customer\u2019s rights during performance of the Agreement and provision of the Services.<\/p>\n
1.5. The terms of the Agreement shall be determined independently by the Provider in accordance with the current legislation of Ukraine. The Agreement and\/or certain provisions thereof may be amended by the Provider subject to mandatory notification of the Customer by publishing the relevant information on the Provider\u2019s Website. In the event the Customer disagrees with the introduced amendments, the Customer shall terminate the Agreement within three days from the publication of such amendments on the Provider\u2019s Website by notifying the Provider in writing thereof. Failure to terminate the Agreement and continued use of the services shall constitute the Customer\u2019s consent to the amendments introduced.<\/p>\n
1.6. By concluding the Agreement, the Customer confirms that they have read and agreed to the terms of the Agreement and the Provider\u2019s Price List published on the Provider\u2019s Website and also grants consent to the collection and processing of their personal data in accordance with the procedure established by the current legislation of Ukraine.<\/p>\n
1.7. In the event that a private (individual) agreement on the provision of medical services is concluded between the Customer and the Provider, the terms of such private agreement shall prevail.<\/p>\n
1.8. Definitions of terms and concepts:<\/p>\n
Customer<\/strong> \u2014 a person who has entered into this Public Agreement on the Provision of Medical Services with the Provider.<\/p>\n Provider or Family Laboratory<\/strong> \u2014 Limited Liability Company \u201cECOTEST+\u201d, a legal entity established in accordance with the current legislation of Ukraine, registered at: 152 Poltavskyi Shliakh St., Kharkiv, 61098, Ukraine, Ministry of Health License for conducting medical practice activities series AE No. 459919 dated June 4, 2014, EDRPOU code: 39031112.<\/p>\n Laboratory and\/or biological material collection point of the Provider<\/strong> \u2014 places of business activity (addresses) where the Provider renders the Services. The list of addresses is published on the Provider\u2019s Website: https:\/\/simeynalab.com.ua\/uzhhorod\/en\/contacts\/.<\/a><\/p>\n Legal Representative of the Customer<\/strong> \u2014 a person acting in all institutions, including courts, for the protection of personal and property rights and legitimate interests of minor and\/or underage Customers, incapacitated Customers, Customers with limited legal capacity, or legally capable Customers who, due to their physical condition (old age, illness), cannot independently exercise their rights and perform their obligations. Legal representatives of the Customer may include parents (adoptive parents), guardians, custodians, or representatives of institutions and organizations under whose guardianship or custody such person is placed.<\/p>\n Price List<\/strong> \u2014 the current list of laboratory services of the Provider indicating prices, published on the Website at: https:\/\/simeynalab.com.ua\/uzhhorod\/en\/product-category\/tests\/ and constituting an integral part of this Agreement.<\/p>\n Confirmatory Actions<\/strong> \u2014 actions evidencing agreement to comply with the Agreement and the provisions set forth on the Provider\u2019s Website and in this Agreement. Such actions may include: Customer registration on the Provider\u2019s Website, ordering services via the Provider\u2019s Website, commencement of actual use of laboratory services, payment for laboratory services, or any other actions evidencing the Customer\u2019s agreement with the terms of this Agreement.<\/p>\n Services (laboratory services)<\/strong> \u2014 a laboratory service provided by the Provider, including collection of the Customer\u2019s biological material, laboratory examination of the Customer\u2019s biological material, and provision to the Customer of the results of the medical examination performed. The list of services, their cost, and other information are published on the Provider\u2019s Website and directly at the Provider\u2019s places of business activity.<\/p>\n Provider\u2019s Website<\/strong> \u2014 the Provider\u2019s website available on the Internet at: https:\/\/simeynalab.com.ua\/uzhhorod.<\/a><\/p>\n Parties<\/strong> \u2014 the collective designation of the Customer and the Provider when jointly referred to in this Agreement.<\/p>\n Order<\/strong> \u2014 a duly completed request by the Customer submitted on the website https:\/\/simeynalab.com.ua\/uzhhorod<\/a> or at the Provider\u2019s Laboratory \/ biological material collection point specifying the list of Services the Customer wishes to receive during a visit to the laboratory\/biological material collection point at the location (city) selected by the Customer in advance. The Order may be paid either upon placement or during the Customer\u2019s visit to the laboratory\/biological material collection point. By confirming the Order, the Customer simultaneously confirms consent to the processing of the Customer\u2019s personal data under the terms established by this Agreement, provides informed voluntary consent to the provision of medical services and processing of personal data, acknowledges awareness of the nature and risks associated with such medical intervention, agrees to the terms of this Agreement and all actions to be performed within its framework that do not contradict the terms hereof.<\/p>\n 4.1. The list and cost of laboratory services shall be determined by the Provider\u2019s Price List effective on the date of payment for laboratory services and published on the Provider\u2019s Website.<\/p>\n 4.2. The Provider shall have the right to unilaterally amend the prices for the Services specified in the Price List. Such amendments shall become effective from the date of their publication on the Provider\u2019s Website in the relevant section.<\/p>\n 4.3. After acceptance of the Order by the Provider and sending the Customer an electronic confirmation of acceptance of the Order, the cost of the already paid Service shall not be subject to change.<\/p>\n 4.4. Payment for services under the Agreement shall be made in the amount of 100% of the cost of the relevant laboratory service according to the Provider\u2019s Price List by one of the following methods:<\/p>\n 4.5. The ordered Services shall be rendered by the Provider exclusively after full advance payment by the Customer.<\/p>\n 4.6. The Customer shall independently bear responsibility for the correctness of payments made.<\/p>\n 4.7. The Customer\u2019s payment obligations for the ordered Services shall be deemed fulfilled from the moment the funds are received and credited to the Provider\u2019s account or when the Provider\u2019s representatives receive the full amount in cash at the place where the Services are rendered.<\/p>\n 4.8. In the event the Customer refuses to receive the paid laboratory services before the commencement of the actual collection\/sampling of biological material, the funds shall be refunded to the Customer in accordance with the procedure established by this Agreement. Refusal by the Customer to receive the service after the expiration of 4 hours from the moment of the actual collection of biological material shall not be permitted, and the funds shall not be refunded.<\/p>\n4. COST OF SERVICES AND PAYMENT PROCEDURE<\/h2>\n
